Comodo's Domain release letter ======================================================================= On headed writing paper Fax: +33-1-7372-4584 Object: Domain and Sub-Domain Authorization Letter References: _____________ _______________________________ (Registrant) with an address at_____________________ confirms and warrants that the Registrant is the Domain Registrant, or an Affiliate thereof, duly authorized to sign this Authorization Letter (“Letter”) to obtain SSL certificates for the domain(s) listed below: (“Affiliate” being defined as an entity of which Applicant controls, or is controlled by, or is under common control with such entity. For the purposes of this definition, "control" shall mean the possession of more than fifty percent (>50%) of the voting equity securities or equity interests in such entity). Certificate Applicant (Applicant): _____________________________________ Domain Name: ____________________________________ I am the Registrant (or employed by or officer of the Registrant or otherwise authorized to act on its behalf) and am duly authorized to sign this Letter on behalf of the Registrant. Comodo CA, Ltd. (Comodo) has received a request from Applicant to issue one or more Digital Certificate(s) under Applicant's name. Applicant desires to install the Digital Certificate on its web server(s) for the domain to enable secure communications with its users. Registrant represents that the Applicant is authorized by Registrant to use the Domain and to order Digital Certificates for use on that Domain. Registrant acknowledges and that this authorization is effective for a period of 25 months as of date of this Letter set forth below. Registrant acknowledges and agrees that by signing this Letter, Comodo may not conduct a Domain Control Validation (DCV) check on any certificate ordered for the Domain Name for the period listed herein. Applicant further acknowledges and agrees that any certificate issued without a DCV check relies on the network and infrastructure security of Applicant's or Applicant's agent’s systems. Registrant further agrees to request Comodo to revoke the Applicant's certificate(s) in the event the Applicant is no longer entitled to use the Domain or domain ownership is transferred to a third party who is not the Applicant. This Letter shall be interpreted and construed under the laws of the United Kingdom without regard to its conflicts of law principles. Registrant agrees that this Letter may be delivered to Comodo by facsimile or digital or electronic means. Registrant agrees to indemnify and hold harmless Comodo, and their directors, officers, agents, employees,contractors, parents, affiliates, or subsidiaries (collectively, the 'Indemnified Parties') and hold the Indemnified Parties harmless from and against any losses, costs, damages, and fees (including reasonable attorney's fees) incurred by the Indemnified Parties in connection with: (a) Any breach by Registrant of any representation or obligation under this letter or any domain name registration agreement between Registrant and the Registry governing the Domain name registration (collectively, the 'Indemnity Conditions'), (b) any and all claims arising from the issuance or mis-issuance of any certificate resulting from a compromise of Applicant’s or Applicant’s Agent’s network and infrastructure. Upon appropriate notice, Registrant shall defend, at its expense, any claim brought against one of more of the Indemnified Parties based on or arising out of one or more of the Indemnity Conditions.
